Agreement to Terms

By accessing or using Med2go's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

Services Description

Med2go provides custom software development services specifically designed for medical professionals and healthcare organizations. Our services include:

• Custom application development for medical practices
• HIPAA-compliant software solutions
• EHR/EMR integration services
• Professional learning and training applications
• Practice management systems
• Healthcare CRM solutions

Use License

Permission is granted to temporarily access the materials on Med2go's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or public display
• Attempt to decompile or reverse engineer any software
• Remove any copyright or proprietary notations
• Transfer the materials to another person or "mirror" the materials on any other server

HIPAA Compliance and Healthcare Data

Med2go is committed to HIPAA compliance in all applicable services:

• We will execute Business Associate Agreements (BAAs) with covered entities
• All Protected Health Information (PHI) is handled in accordance with HIPAA regulations
• We implement appropriate safeguards to protect PHI
• Clients are responsible for ensuring their use of our services complies with HIPAA
• Breach notification procedures are in place as required by law

Client Responsibilities

When using Med2go's services, clients agree to:

• Provide accurate and complete information
• Maintain the confidentiality of account credentials
• Comply with all applicable healthcare regulations
• Use services only for lawful purposes
• Not interfere with or disrupt the services
• Notify us immediately of any unauthorized access

Intellectual Property

Unless otherwise specified in a separate agreement:

• Med2go retains ownership of all pre-existing intellectual property
• Custom development work ownership is defined in project agreements
• Clients retain ownership of their data and content
• Med2go may use anonymized data for service improvement
• Third-party components are subject to their respective licenses

Payment Terms

For custom development services:

• Payment terms are specified in individual project agreements
• Invoices are typically due within 30 days of issuance
• Late payments may incur interest charges
• Services may be suspended for non-payment
• Refund policies are outlined in project agreements

Service Level and Availability

While we strive to provide reliable services, Med2go does not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue services with reasonable notice. Scheduled maintenance will be communicated in advance when possible.

Limitation of Liability

To the maximum extent permitted by law:

• Med2go shall not be liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid for services in the preceding 12 months
• We are not liable for third-party actions or services
• Clients are responsible for maintaining appropriate backups
• Force majeure events are excluded from liability

Warranties and Disclaimers

Med2go provides services "as is" without warranties of any kind, either express or implied. We do not warrant that:

• Services will meet your specific requirements
• Services will be uninterrupted, timely, or error-free
• Results obtained from services will be accurate or reliable
• Any errors in software will be corrected (except as specified in agreements)

Indemnification

You agree to indemnify and hold Med2go harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these terms, or infringement of any third-party rights.

Termination

Either party may terminate services under the following conditions:

• With written notice as specified in project agreements
• Immediately for material breach of terms
• Upon completion of project deliverables
• For non-payment of fees

Upon termination, you must cease all use of our services and we will provide data export as specified in agreements.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of business. This obligation survives termination of services and excludes information that is publicly available or independently developed.

Governing Law

These terms shall be governed by and construed in accordance with applicable federal and state laws. Any disputes shall be resolved through binding arbitration or in courts of competent jurisdiction.

Changes to Terms

Med2go reserves the right to modify these terms at any time. We will provide notice of material changes through our website or via email. Continued use of services after changes constitutes acceptance of modified terms.

Severability
